1. Note Trustee Services

As a Note Trustee, we act as a fiduciary on behalf of noteholders (investors) to ensure that
the issuer complies with its obligations under the terms of a trust deed or indenture.

Key Functions and Responsibilities

As a note trustee, we seek to protect the interests of investors throughout the life of the
debt instrument. Our typical responsibilities include:

  • Representation of Investors: Acting as the legal representative of noteholders and facilitating communication between the issuer and investors.
  • Documentation and Compliance: Reviewing transaction documents, collecting compliance certificates, and monitoring the issuer’s adherence to covenants and contractual conditions.
  • Administration: Maintaining a register of noteholders and coordinating the payment of principal and interest with paying agents.
  • Security Management: Creating and holding security interests on behalf of noteholders and monitoring the underlying collateral.
  • Default Management: Enforcing security interests and exercising remedies on behalf of noteholders in the event of default.
  • Corporate Actions: Managing requests for waivers, amendments, approvals, and coordinating investor meetings or decision-making processes.
  • Regulatory Compliance: Ensuring all required filings with regulatory authorities and stock exchanges are accurately completed.
Why LCSA Provides Note Trustee Services

LCSA is fully licensed by the Securities and Exchange Commission of Zambia (SEC), which supervises

2. Numbering Agency
 

LCSA is mandated by the Association of National Numbering Agencies (ANNA) to serve as the
sole National Numbering Agency (NNA) responsible for the issuance of International Securities
Identification Number (ISIN) codes for all securities in Zambia.

About ANNA

ANNA is a global association of National Numbering Agencies dedicated to fostering
standardisation within the financial industry. It promotes and upholds ISO standards,
particularly those relating to ISIN, FISN (Financial Instrument Short Name), and
CFI (Classification of Financial Instruments) codes.

ANNA works collaboratively with market participants, regulators, and global
standards-setting bodies to ensure consistency, accuracy, and international compatibility
in the identification of financial instruments.

LCSA’s Role as the National Numbering Agency

As the designated National Numbering Agency for Zambia, LCSA is the competent authority for
issuing ISINs and related identification codes to securities and financial instruments.
This includes:

  • Securities listed on the national exchange
  • Fixed-income instruments such as government and corporate bonds
  • Money market instruments
  • Indexes and reference rates (where applicable)

Through this mandate, LCSA ensures that all Zambian financial instruments are recognized
within the global financial markets with accurate, internationally compliant identification.
